Adobe Value Incentive Plan 약관


본 Value Incentive Plan("VIP" 또는 "프로그램") 상용 멤버십 계약("계약")은 프로그램 참여와 관련한 멤버십 조항을 명시합니다. 계약은 온라인 가입 날짜부터 유효합니다. 본 계약은 Adobe와 온라인 가입으로 회원이 된 것으로 파악된 고객 사이에 맺어집니다. “Adobe”란 미국, 캐나다 또는 멕시코에 소재한 회사의 조직과 계약을 체결하는 경우 345 Park Avenue, San Jose, CA 95110-2704에 사업장을 둔 델라웨어주의 Adobe Inc.를 의미하며, 호주에 소재한 회사의 조직과 계약을 체결하는 경우에는 4-6 Riverwalk, Citywest Business Campus, Dublin 24, Ireland에 소재한, Adobe Systems Pty Ltd(ABN 72 054 247 835)의 공인 대행사인 Adobe Systems Software Ireland Limited를 의미합니다. 이외에 Adobe Systems Software Ireland Limited와 체결하는 모든 계약의 경우 Adobe는 4-6 Riverwalk, Citywest Business Campus, Dublin 24, Ireland에 소재한 기업을 의미합니다. 회원은 본 프로그램 하에 미국(미국령 및 전세계 미군 부대 포함), 캐나다 또는 멕시코에서 설치되고 사용될 모든 소프트웨어, 서비스 및 상품(통칭해서 "제품")을 Adobe U.S.로부터 제공 받아야 합니다. 회원은 호주에서 설치되고 사용될 모든 제품에 대해 Adobe Systems Pty Ltd(ABN 72 054 247 835)의 공인 대리점인 Adobe Ireland로부터 라이선스를 제공 받아야 합니다. 회원은 다른 국가 또는 영토에서 설치되고 사용될 모든 제품에 대해 Adobe Ireland로부터 라이선스를 제공 받아야 합니다.


1.  프로그램 설명.


1.1 일반 조항 및 프로그램 조항. VIP 프로그램은 적격한 고객이 프로그램을 통해 구매한 제품 라이선스를 관리하고 배포할 수 있도록 고안된 유연한 라이선스 프로그램입니다. VIP 프로그램은 본 계약서의 섹션 3.4에 추가로 정의된 라이선스 구독 기간이 있는 멤버십 프로그램입니다. 조직이 VIP 관리 사용자 인터페이스를 통해 회원으로 구독하고 Adobe가 조직의 프로그램 참여를 승인한 경우 해당 조직의 프로그램 회원 자격은 (a) Adobe가 프로그램을 종료하는 시점과 (b) 본 계약이 종료되는 시점 중 빨리 도래하는 시점까지 유지됩니다. 회원의 참여는 프로그램의 프로그램 안내서에 명시된 조항을 따르게 되며, 이는 수시로 갱신될 수 있고 www.adobe.com/go/vip_program_guide_kr("프로그램 안내서")에서 확인할 수 있습니다. 프로그램 안내서는 참조할 수 있도록 본 계약서에 포함되어 있습니다. Adobe는 자체적인 판단에 따라 프로그램의 조항을 변경할 수 있습니다. 프로그램 조항이 변경되는 경우, 회원은 Admin Console에서 프로그램 조항에 다시 동의해야 합니다.


1.2 계약의 종료. 상기 조항에도 불구하고 양 당사자는 이유를 불문하고 30일 사전 서면 통지를 통해 본 계약을 종료할 수 있습니다. 본 프로그램의 해지는 해지 날짜 이전에 주문된 제품과 관련하여 회원의 조직에 어떠한 영향도 미치지 않으며, 여기에는 가입 약관과 지불 책임이 포괄적으로 포함됩니다. 또한, Adobe는 중대한 위반이 발생하는 경우에 서면 통지를 통해 본 계약을 즉시 종료할 수 있습니다(Adobe 지적 재산권에 대한 부정 행위 또는 침해를 포괄적으로 포함). 본 계약이 종료되는 경우 계약과 상충되는 어떠한 부분이 있더라도 회원의 조직은 프로그램의 사용을 즉시 중단하고, 모든 컴퓨터 시스템과 IT 장비로부터 제품을 삭제하고, 제품을 저장하고 있는 모든 매체와 관련 자료를 회원의 계정 관리자에게 반송해야 합니다. 계정 관리자란 (i) 거래가 리셀러를 통하는 경우에는 리셀러, 또는 (ii) Adobe와의 거래인 경우에는 Adobe 담당자를 의미합니다.

 

1.3 TOU. 제품의 액세스 및 사용에 대해서는 https://www.adobe.com/kr/legal/terms.html에 나와 있는 Adobe 사용 약관("TOU")의 적용을 받습니다. 해당 TOU의 조항은 참조할 수 있도록 본 계약서에 포함되어 있습니다(적용 법률 및 관할지에 관한 조항을 포괄적으로 포함). 본 계약서의 조항과 TOU의 조항 사이에 상충되는 부분이 발생하는 경우, 본 계약서의 조항이 우선합니다.


1.4 프로그램 제품. 회원이 프로그램을 통해 사용 가능한 제품의 전체 목록을 확인하려면 계정 관리자에게 연락하거나 Adobe.com의 프로그램 웹 페이지 http://www.adobe.com/kr/howtobuy/buying-programs/vip.html을 방문해야 합니다. 프로그램을 통해 구입한 모든 제품은 오로지 회원의 조직 내에서만 사용하기 위한 것이며 해당되는 경우에 제4.1조 및/또는 프로그램 안내서에 명시된 사항을 제외하면 모든 재판매, 서브라이선스 및 기타 배포는 금지됩니다. 프로그램 가이드에 설명된 바와 같이, 일부 서비스는 소모품을 구매함으로써 라이선스를 부여할 수 있습니다.

1.5 계열사. Adobe는 고객의 계열사가 이 계약에 따라 제품을 주문하고 제공된 제품을 사용할 수 있다는 것에 동의합니다. 고객은 이러한 계열사의 행동이나 실수에 대한 궁극적인 책임을 집니다. 회원에게 있어 산하 조직이란 회원을 통제하거나, 반대로 회원이 통제하거나, 회원과 함께 공동 통제하는 주체를 의미합니다. 이 1.5조의 목적을 위해, "통제"라는 용어는 다른 법적 주체에 대해 최소한 50%의 주식, 의결권, 참여 또는 경제적 이익을 통해 해당 법적 주체의 업무를 지시하는 직접적 또는 간접적 영향력을 의미합니다.


2.  참여.


2.1 Adobe ID 및 VIP ID. 프로그램에 참여하려면 Adobe ID가 필요합니다. 각 회원에게는 모든 주문에서 참조해야 하는 VIP ID가 할당됩니다. 회원을 통해 제품에 액세스하고 사용하는 사용자의 손실 또는 손해에 대한 책임은 회원에게 있습니다.


2.2 콘솔. 프로그램 관리 사용자 인터페이스를 “Admin Console”이라고 합니다. 이 계약서 조항에 동의하는 경우 조직을 대표하여 동의한 개인이 계약의 주체로 지정됩니다. 계약의 주체는 시스템 관리자(각각 "관리자")를 추가할 수 있습니다. 계약의 주체 및 관리자에게는 Admin Console에 대한 액세스 권한이 주어지며, 이를 통해 제품에 액세스하고 조직의 가입 상태를 관리하고, 조직의 계정 정보를 확인할 수 있습니다. 관리자는 Admin Console을 통해 자신의 조직 내에 있는 추가 사용자를 초청하여 Admin Console에 액세스하도록 할 수 있습니다. 회원은 관리자 또는 계약 소유자가 회원을 대리하여 행동하는 것을 승인합니다.

2.3 기밀 유지. 회원은 VIP ID를 기밀 정보로 취급해야 하며, 회원의 계정 관리자를 제외하고 이러한 정보를 공유하거나 공개해서는 안 됩니다.

2.4 멤버십. 교육, 정부 및 비영리 단체 멤버십에는 Exhibit B 조항만 적용됩니다. 회원은 중국에서 사용하도록 제공되고 주문되는 제품에 대해 별도의 VIP 계약을 사용해야 합니다.


3.  주문, 가격 및 이행.


3.1 주문 및 가격 책정. 회원은 계정 관리자에게 제품 주문을 합니다. 모든 요금은 회원의 계정 관리자가 결정합니다. 가격, 배송 및 지불 조건 등과 같은 사항은 회원과 회원의 계정 관리자 사이에 협의되어야 합니다. 회원의 계정 관리자가 Adobe가 아닌 경우 Adobe는 특정 할인을 보장하지 않습니다.


3.2 액세스, Admin Console 배치 및 이행. 회원이 되면 회원 관리자는 Admin Console을 통해 사용 가능한 제품에 대한 액세스 권한을 부여받습니다. 회원은 Admin Console에서 다양한 제품을 추가하고 해당 제품에 즉시 액세스할 수 있습니다. Adobe는 유예 기간 내에 해당 제품에 대한 주문을 받아야 합니다.


3.3 Admin Console에 추가된 제품의 유예 기간. 유예 기간은 해당 제품을 추가한 후 14일입니다. 유예 기간 내에 Adobe가 해당 제품에 대한 주문을 받지 못한 경우, 회원은 추가된 모든 제품에 대해 지불이 이루어질 때까지 더 이상 제품을 추가할 수 없습니다. 회원은 Admin Console에서 배포된 제품 수량을 관리할 수 있습니다.


3.4 계약 갱신일, 구독 기간 및 갱신.

 

3.4.1 갱신일. Adobe가 달리 통지하지 않는 한 회원의 멤버십 갱신일은 Adobe가 회원의 최초 주문을 수락한 후 12개월이되는 날(“멤버십 갱신일”)입니다.

 

3.4.2 구독 기간. 구독 기간은 회원이 제품을 사용할 수 있는 기간을 의미하며 초기 구독 기간과 갱신 구독 기간을 포함합니다. 최초 가입 기간은 회원의 첫 번째 주문일에 시작해서 멤버십 갱신일 전날에 해지되는 기간을 의미합니다. 제품 구독 갱신의 경우 갱신 구독 기간은 만료 날짜에 시작해서 다음 멤버십 갱신일 전날까지 계속됩니다. 구독 제품 및 관련 서비스의 사용은 구독 기간 종료일에 함께 종료됩니다. 대부분의 소모품은 단일 구독 기간 내에 사용되어야 하며, 미사용 크레딧의 유효기간은 구독 기간 종료일에 만료됩니다. 자세한 내용은 프로그램 가이드에서 확인할 수 있습니다.

 

3.4.3 구독 갱신. Adobe 또는 계정 관리자는 구독 기간 종료 날짜 전에 회원에게 알리기 위해 합리적인 노력을 기울일 것입니다. 제품을 중단 없이 계속 사용하려면 멤버십 갱신일 전에 구독을 갱신해야 합니다.


3.5 업그레이드 보호. 회원은 구독 제품을 구매하면 Adobe가 새로운 버전의 상용 제품을 출시하는 시점에 제품 사용료가 지불된 상태로 구독이 유효한 경우에 한해 프로그램을 통해 구매한 제품의 정식 최신 버전을 보유할 수 있는 업그레이드 자격이 주어집니다.


3.6 반품. 회원이 거주하는 관할 지역의 소비자보호법에 따라 멤버의 권리를 침해하지 않는 범위 내에서 회원은 이미 설치되었거나 액세스된 제품을 반품할 수 없습니다. 회원이 설치 전에 반품을 요청하는 경우, 회원은 전체 주문을 반품해야 합니다. 회원은 회원의 계정 관리자를 통해 계약에 따라 구매한 제품의 반품을 요청해야 합니다. 해당 보증 권리에 따라, 회원의 원래 제품 주문 날짜 이후 14일 이내에 회원 관리자에게 반품을 요청해야 합니다. 반품이 유효하려면 Adobe가 모든 반품 요청을 승인해야 하며, 자세한 내용은 프로그램 가이드에 설명되어 있습니다.


3.7 Adobe에 직접 주문. 회원이 Adobe에 직접 주문하는 경우 다음 조항이 적용됩니다. 회원은 Admin Console 또는 Adobe 담당 직원을 통해 언제든지 제품을 추가로 주문할 수 있지만, 모든 제품의 주문은 Adobe 담당 직원을 통해 이루어져야 합니다. 제품의 가격은 주문된 시점의 요율로 책정되어야 하며, 구독 기간의 잔여 일수를 기준으로 비례 계산되어야 합니다. 3.2, 3.3 및 4.2의 조건에도 불구하고 Admin Console을 통해 제품을 추가하면 Adobe는 당시의 가격으로 해당 제품에 대해 직접 청구할 수 있습니다. 주문 시 신용 승인이 필요할 수도 있습니다. 회원에게는 제품 가격 및 해당 세금이 청구됩니다. 주문된 제품에 대해 회원은 송장 날짜로부터 30일 이내에 송장에 따라 지불해야 합니다. 기한까지 지불되지 않은 금액의 경우, 미납일로부터 총액에 이자를 합한 총액이 완납되는 날짜까지 미납 금액에 대해 월 1.0% 또는 해당 법이 허용하는 한도 내에서 최대 요율의 이자율이 적용됩니다.

 

4. VIP Marketplace.

 

4.1. VIP Marketplace를 통해 라이선스가 부여된 제품에만 섹션 4 "VIP Marketplace"가 적용됩니다. 위 섹션 3.4.3의 내용에도 불구하고 VIP Marketplace에서 구독 기간이 끝나면 갱신일 최소 3일 전까지 변경 또는 취소하기로 선택하거나 Adobe가 달리 전달하는 경우를 제외하고 1 - 멤버십 갱신일 및 2 - 유효한 해당 할인 수준으로 Adobe의 파트너 가격에 따라 연간 구독이 자동으로 갱신됩니다. 명확히 설명하자면, 계정 관리자가 제품 수수료를 결정할 것입니다. 자세한 내용은 VIP Marketplace 프로그램 안내서를 참조하십시오. 회원은 계정 관리자와 협력하여 제품 구독을 조정할 수 있습니다.

 

4.2 VIP Marketplace 유예 기간. 섹션 3.2 및 3.3에도 불구하고 VIP Marketplace 제품의 유예 기간은 제품을 추가한 후 14일이 아니라 7일입니다. 유예 기간 내에 VIP Marketplace를 통해 추가된 제품에 대해 Adobe가 주문을 받지 못하면 해당 제품은 제거됩니다.

 

5. 기타 사항.

 

5.1 라이선스의 양도. 제품 TOU는 본 계약에 따라 또는 본 계약과 관련하여 라이선스가 부여된 제품의 양도에 대한 제한을 적용하지 않습니다. Adobe는 제한된 경우에 한해 고유 재량으로 본 계약에 따른 제품 라이선스의 양도를 허용할 수 있습니다. 이러한 요청은 양도 신청을 하는 사유와 양수인의 연락처 정보 등에 대한 설명과 함께 Adobe 고객 서비스로 보내야 합니다. 자세한 정보는 프로그램 안내서에 나와 있습니다. 명확히 하자면 모든 공여물은 판매되는 것이 아니라 사용권이 부여되는 것입니다.


5.2 라이선스 준수. 회원은 설치 및/또는 배포 및 보유된 제품 사본의 수량을 정확히 기록하고 본 계약이 종료된 이후로부터 2년간 제품의 설치 및/또는 배포 기록을 유지해야 하는 시스템 및/또는 절차를 유지해야 합니다. Adobe 또는 그 대리인은 30일 사전 서면 통지를 통해 연간 최대 1회에 한해 회원의 제품 설치/배포에 대한 감사를 실시할 수 있습니다. 이러한 감사가 실시되면 회원은 요청일로부터 30일 이내에 회원이 설치/배포하고 액세스한 모든 제품에 대한 정확한 기록 원본과 모든 유효한 구매 증명서를 제출해야 합니다. 감사 실시를 통해 제품 라이선스의 위반 사항이 발견되는 경우 회원은 이러한 위반 통보를 받은 날로부터 30일 이내에 필요한 라이선스를 구매해야 합니다. 상기의 사항에도 불구하고, Adobe는 10일 사전 서면 통지를 통해 정상적인 업무 시간 중에 회원의 라이선스 설치 및 배포 상태에 대한 현장 감사를 실시할 권한이 있습니다. 이 5.2조항은 이 계약의 해지일로부터 2년간 유효합니다.


5.3 정보의 사용. Adobe는 계약에 따른 의무 조항을 이행하기 위해 회원 또는 산하 조직의 이름 및 연락처 등의 정보를 사용할 수 있습니다. 자세한 내용은 Adobe Privacy Center(adobe.com/kr/privacy)를 참조하십시오.


5.4 지위. 양 당사자는 본 계약에 국제물품매매계약에 관한 국제연합협약이 명시적으로 배제됨에 동의합니다. 회원이 미국 연방 정부의 법적 주체인 경우, 회원은 1978년 발효된 계약분쟁법(Contracts Disputes Act)("분쟁법")에 따라 본 계약에서 발생하는 모든 계약 위반 손해 배상을 주장할 지위와 권리를 가지는 것에 동의합니다.


5.5 일반 사항. 양 당사자는 독립적인 계약자이며, 본 계약은 양 당사자가 서로에게 있어서 대리점 또는 투자자의 관계가 아님을 전제로 합니다. 회원은 Adobe의 사전 서면 동의 없이 본 계약(법의 적용 또는 기타)을 양도할 수 없으며, 금지된 양도는 무효로 간주됩니다. Adobe는 고유한 재량에 따라 회원에게 서면상 사전 통보를 보내지 않고도 본 계약을 지정하거나 수정할 수 있습니다. 본 계약은 허용된 양수자 또는 피지정자의 혜택에 대한 구속력과 효력을 가집니다. 서면상 합의하지 않은 이상 어떠한 수정도 유효하거나 구속력이 있지 않습니다. 본 계약(해당되는 경우에 프로그램 안내서, 관련 TOU 및 Exhibits 또는 온라인 가입 정보 포함)은 본 계약의 대상에 대해 양 당사자 사이에 맺어지는 완전한 계약입니다. 이 계약의 일부 조항이 강제력을 상실하는 경우에도 계약의 나머지 조항은 계속해서 완전한 효력을 유지합니다. 회원의 계정 관리자가 더 이상 공인 Adobe 계정 관리자가 아닌 경우, Adobe는 회원에게 통지한 후 당시의 공인 Adobe 계정 관리자로 회원의 계정을 이동할 수 있습니다.


본 계약은 영문판으로만 체결됩니다. 영문판은 모든 면에서 통제권을 가지며, 본 계약의 다른 언어로 작성된 어떠한 버전도 구속력이나 효력을 가지지 못합니다. 또한, 비영문판에 회원과 Adobe가 서명을 하고 영문판에는 서명이 없는 경우라 하더라도 영문판이 시행된 것으로 간주하고 상호간에 구속력을 가지는 것에 양 당사자는 동의합니다. 전술된 제한 사항에도 불구하고, 본 계약의 영문판과 다른 언어판 사이에 상충되는 부분이 발생하는 경우, 영문판과 그 해석이 우선합니다. 모든 의사 전달 또는 통지는 본 계약에 의거하여 실시되어야 하며 본 계약에 의해 발생하는 분쟁은 영문판에 의해 시행되고 해결됩니다.


5.6 서비스. 제품에는 Adobe 또는 서드 파티가 운영하는 다양한 서비스가 통합되어 있으며, 여기에는 (a) 미성년자에게 부적절하거나, (b) 일부 국가에서 불법이거나, (c) 직장에서 시청하기에 부적절한 사용자 생성 콘텐츠가 포함되어 있을 수 있습니다. 통합된 서비스의 전체 목록은 www.adobe.com/go/integratedservices_kr에서 사용 가능합니다. 회원이 사용자 생성 콘텐츠 서비스에 대한 시청이나 액세스를 금지하려는 경우 (i) 이 기능을 사용 가능하도록 만드는 Creative Cloud Packager에서의 서비스 액세스를 비활성화하거나 (ii) 네트워크 방화벽을 통해 서비스에 대한 액세스를 차단하면 됩니다. 어떠한 경우에서든 서비스는 13세 미만의 사용자에게 제공되지 않습니다. Adobe는 서비스를 통해 사용 가능한 모든 사용자 생성 콘텐츠에 대한 책임을 지지 않습니다. 회원은 서비스의 사용이 회원의 관할 사업권에서 해당 법률을 준수하고 있는지 확인할 책임을 집니다. 공공 기관 또는 서비스 제공 업체의 조치에 따라 (i) 서비스에 대한 액세스가 느려지거나 차단되는 경우, 또는 (ii) Adobe가 고유 재량에 따라 지역 법률을 준수하기 위한 일환으로 서비스의 일부 또는 전부에 대한 액세스를 차단하는 경우 회원은 환불을 받을 권한이 없으며, Adobe는 이에 대한 책임을 지지 않습니다.

교육 기관, 공공 기관 및 비영리 기관 멤버십

 

A. 교육 회원


교육 주체(아래에 정의됨)인 회원에게는 다음 추가 조항이 적용됩니다. 회원이 교육 주체가 아닌 경우에 Adobe는 교육 멤버십을 해지할 권리를 보유합니다.


1. 교육 회원에게 적용되는 정의.

1.1 교육 주체. 다음은 공인 교육기관의 비배타적 목록입니다. 여기에는 (a) 풀타임 교육을 제공하는 (공인 인증 기관으로부터) 공인된 공립 또는 사립 초중고교, (b) 최소 2년간의 풀타임 학업에 해당하는 학습량을 요구하는 학점을 부여하는 공인 공립 또는 사립 단과대학(커뮤니티, 전문대학 또는 직업대학 포함), (c) Adobe가 개별적으로 서면 승인한 경우, 이름이 지정된 교육기관, (d) 기타 공인 교육기관이 전적으로 소유하거나 운영하는 병원, 여기에서 "전적으로 소유하고 운영한다"는 것은 교육기관이 병원의 유일한 소유자이며 일상 업무를 관할하는 유일한 주체임을 의미함 및 (e) i - 공공기관이고 국립 또는 지역 교육기관이 승인하고, ii - 학생을 가르치며, iii, 지배 대학교와 관계를 기술하는 내규 사본을 제공할 수 있는 고등 교육 연구소 등이 있습니다.

다음은 비적격 교육기관의 일부 목록입니다. (a) 비인가 학교, (b) 박물관 또는 도서관, (c) 적격 교육기관이 100% 소유 및 운영하지 않는 병원, (d) 인가 학교가 아닌 교회 또는 종교 단체, (e) 비인가 학교의 컴퓨터 소프트웨어 교육 또는 직업 훈련과 같이 교육 과정에 대한 자격증을 수여하거나 최소 2년 정규 교육 과정에 해당하는 학위를 수여하는 직업 전문 양성 기관 또는 학교, (f) 학위를 수여하지 않는 군사 학교, (g) 국가 또는 시/도 교육 감독 기관에서 인정하지 않은 연구소. 예를 들어, 기타 정부 부서에 등록된 기관은 해당되지 않습니다.


상기의 목록은 아래의 제1.2조(지역별 정의)에 명시된 국가에는 적용되지 않습니다.


1.2 교육 기관 주체의 지역별 정의.

(a) 아래의 문단 (b)에 정의된 바와 같이 동남아시아를 제외한 아시아 태평양 국가. 교육 회원이 호주, 뉴질랜드, 인도, 스리랑카, 중국 본토, 중화인민공화국 홍콩특별행정구, 대만 지역, 한국, 방글라데시, 네팔, 미얀마, 파키스탄, 몽골 또는 Adobe가 수시로 지정하는 국가에 거주하는 경우, "교육 주체"는 https://www.adobe.com/special/avl/education/ap/index2.html(또는 그 후속 웹 사이트)에서 Adobe가 지정하는 "유자격 교육 사용자"("풀타임 및 파트타임 교수진" 및 "학생"으로 명시된 조항은 제외)의 의미를 만족하는 주체임을 의미하며, 이는 Adobe에 의해 수시로 갱신됩니다.


(b) 동남아시아 국가. 교육 회원이 인도네시아, 말레이시아, 필리핀, 싱가포르, 태국 및 베트남에 거주하는 경우 “교육 주체" 또는 "교육 기관"은 https://www.adobe.com/go/edu_entity_sea(또는 그 승계 웹사이트)에서 Adobe가 지정한 해당 의미를 가지고 있으며, 이는 Adobe에 의해 수시로 갱신됩니다.


(c) 일본. 회원이 일본에 거주하는 경우 "교육 기관 주체" 또는 "교육 기관"은 https://helpx.adobe.com/jp/x-productkb/policy-pricing/cq081918191.html(또는 후속 웹 사이트)에서 Adobe가 지정한 대상을 의미하며, 이는 Adobe에 의해 수시로 변경됩니다.

 

1.3 초등학교 및 중고등학교. 초등학교 및 중고등학교는 프로그램 가이드에 정의되어 있습니다. B. 공공 기관 회원

1.  정부 회원에게 적용되는 정의.

공공 기관 주체. 프로그램 참여는 회원(및 각 산하 조직)이 공공 기관인 경우에만 가능합니다. 공공 기관은 (a) 연방, 중앙 또는 국가 기관, 각 부처, 위원회, 이사회, 각 관청, 의회 또는 당국(행정, 입법 또는 사법) 또는 (b) 지방자치단체, 특별행정구, 시, 군 또는 시/도 공공 기관, 각 부처, 위원회, 이사회, 각 관청, 의회 또는 공공 기관, 또는 각 구, 지역 및 시/도 행정 관청을 비롯하여 관련 시/도의 헌법 또는 법규에 의해 제정된 시/도 또는 지방 자치 정부의 행정, 입법 또는 사법 기관 또는 (c) 정부, 시/도 또는 지방 자치 정부에 의해 설립되었거나 재정 지원을 받는 조직으로 시민, 회사 또는 기타 공공 기관 주체를 관리하거나 지원하도록 승인을 받은 공공 기관 또는 조직을 의미합니다. 혼동을 줄이기 위해, 개인 "영리" 기업, 비영리 기관, 무역 또는 산업 협회, 고등교육 기관 및 노동조합, 혹은 공공 기관을 대신하거나 공공 기관과 협력하고 있지만 FAR 51조에 따라 미 정부 기관으로부터 발급받은 특정 권한 위임장이 없는 사조직은 제외됩니다. 회원은 자사 및 그 계열사가 정부 주체임을 Adobe에 표명합니다. 일본에서 적격한 "공공 기관 주체"의 목록은 http://www.adobe.com/kr/aboutadobe/volumelicensing/pdfs/cl5_government_license_table.pdf에서 확인할 수 있습니다.

2.  정부 회원에게 적용되는 조항.


2.1 추가적 제한 사항. 미국 연방 공공 기관 회원의 경우 모든 주문은 FAR 52.232-18(대금 가용성) 및 FAR 52.232-19(다음 회계연도의 대금 가용성)가 적용되므로 해당 주문에 대해 대금을 지불할 수 없는 미국 연방 공공 기관 회원은 제품을 배포할 수 없습니다. 주 또는 지역 정부 주체에도 어느 정도까지는 유사한 요건이 적용되기 때문에, 이러한 주체는 해당 주문에 대해 대금을 지불할 수 없는 경우에는 제품을 배포할 수 없습니다.

ADOBE VALUE INCENTIVE PLAN TERMS AND CONDITIONS


This Value Incentive Plan (“VIP” or “Program”) Commercial Membership Agreement (“Agreement”) sets forth the terms of your participation as a Member in the Program. The Agreement is effective as of the date of online enrollment. This Agreement is entered into by and between Adobe and the customer identified in on-line enrollment to become a Member. “Adobe” shall mean either ADOBE INC., a Delaware corporation having a place of business at 345 Park Avenue, San Jose, CA 95110-2704, if the Agreement is entered into with a Member’s organization that is located in the United States, Canada, or Mexico, ADOBE SYSTEMS SOFTWARE IRELAND LIMITED, a company incorporated in Ireland and having a place of business at 4‑6 Riverwalk, Citywest Business Campus, Dublin 24, Ireland as authorized agent of Adobe Systems Pty Ltd (ABN 72 054 247 835), if the Agreement is entered into with a Member’s organization that is located in Australia, or otherwise with ADOBE SYSTEMS SOFTWARE IRELAND LIMITED, a company incorporated in Ireland and having a place of business at 4-6 Riverwalk, Citywest Business Campus, Dublin 24, Ireland. Member shall license all software, services, and offerings available under the Program (collectively “Product”) to be installed and used within the United States (including United States territories and military bases wherever located), Canada, or Mexico from Adobe U.S. Member shall license all Products to be installed and used in Australia from Adobe Ireland, as authorized agent of Adobe Systems Pty Ltd (ABN 72 054 247 835). Member shall license all Products to be installed and used in all other countries and territories from Adobe Ireland.


1. Program Description.


1.1 General and Program Term. The VIP Program is a flexible licensing program designed to allow qualified and eligible customers to manage and deploy Product licenses purchased through the Program. The VIP Program is a membership program with license Subscription Periods as further defined in Section 3.4 of this Agreement. Once the organization enrolls in a membership through the VIP administration user interface and is accepted by Adobe into the Program, the organization will be a member of the Program (“Member”) until the earliest of when (a) Adobe terminates the Program, (b) this Agreement terminates. Member’s participation is further subject to the terms stated in the program guide for the Program, which may be updated from time to time and is available at www.adobe.com/go/vip_program_guide_en (“Program Guide”). The Program Guide is hereby incorporated into the Agreement by reference. Adobe may change the terms of the Program at its sole discretion. If Program terms change Member may be required to reaccept the Program terms in the Console.


1.2 Termination. Notwithstanding the foregoing, either party may terminate the Agreement with or without cause on thirty (30) days prior written notice. Termination of this Agreement shall not affect Member’s obligations with regard to any Products ordered prior to the termination date, including without limitation any subscription terms or payment obligations. In addition, Adobe may immediately terminate this Agreement, upon written notice, for a material breach (including but not limited to any misappropriation or infringement of Adobe’s intellectual property rights). If this Agreement terminates, then Member’s organization shall immediately cease use of the Products, delete the Products from all computer systems and IT equipment on which it resides, and return to Member’s Account Manager any media containing the Products as well as any related materials. Account Manager means either (i) Reseller, if a transaction is through a reseller, or (ii) Adobe representative, if a transaction is with Adobe.

 

1.3 TOU. The access and use of the Products is governed by the applicable Adobe terms of use (“TOU”) available at https://www.adobe.com/legal/terms.html. The terms of the applicable TOUs are hereby incorporated by reference (including without limitations terms related to governing law and venue). In the event of inconsistency between the terms of this Agreement and the terms of the TOU, the terms of this Agreement shall control.


1.4 Program Products. For a complete list of Products available through the Program, Member shall contact its Account Manager or go to the Program web pages located on Adobe.com http://www.adobe.com/howtobuy/buying-programs/vip.html. All Products purchased through the Program are solely for use within Member’s own organization and all re-sale, sublicensing, and other distribution is prohibited except as set forth in Section 4.1 and/or the Program Guide, if applicable. Certain offerings may be available for license by purchasing Consumables, as described in the Program Guide.

 

1.5 Affiliates. Adobe agrees that customer's Affiliates may place orders under this Agreement for the Products and use such Products provided hereunder. Customer retains ultimate liability for any acts or omissions of such Affiliate. Affiliate means, for Member, any other entity that controls, is controlled by, or under common control with, Member. For the purposes of this Section 1.5, the term “control” means the direct or indirect power to direct the affairs of the other entity through at least 50% of the shares, voting rights, participation, or economic interest in this entity.


2. Participation.


2.1 Adobe ID and VIP ID. An Adobe ID will be required in order to enroll in the Program. Each Member will be assigned a VIP ID which must be referenced on all orders. Member is responsible for acts or omissions of anyone who obtains access to and use of the Products through Member.


2.2 Console. The Program administration user interface is the “Admin Console.” Once the terms of this agreement are accepted, the individual accepting on behalf of the organization will be assigned as the Contract Owner. The Contract Owner can add system administrator(s) (each an “Administrator”). The Contract Owner and any Administrator will be provided access to the Admin Console where they will have the ability to access the Product, manage their subscriptions, and view their account information. The Admin Console will allow the Administrator to invite additional users within their organization to gain access to the Admin Console. Member authorizes any Administrator or Contract Owner to act on Member’s behalf.

 

2.3 Confidentiality. Member shall treat VIP ID as confidential and not share or disclose such information except with Member’s Account Manager.

 

2.4 Memberships. The terms of Exhibit B apply to Education, Government, and Non-Profit Memberships. Member must use a separate VIP Agreement for any Products made available and ordered for use in the People’s Republic of China.


3. Ordering, Pricing, and Fulfillment.


3.1 Ordering and Pricing. Member shall place Product orders with their Account Manager. All fees are determined by Member’s Account Manager. Matters such as price, delivery, and payment terms must be agreed between Member and Member’s Account Manager. Adobe cannot guarantee any particular discount, unless Adobe is Member’s Account Manager.


3.2 Access, Admin Console Deployment, and Fulfillment. Upon becoming a Member, Member’s Administrator will be provided access to the available Products, through the Admin Console. Member may add many Products from the Admin Console and obtain immediate access to such Products. Adobe must receive an order for any such Products within the Grace Period. 


3.3 Grace Period for Products Added in Admin Console. The Grace Period is 14 days after adding such Products. If Adobe does not receive an order for such Products within the Grace Period, then Member will no longer be allowed to add additional Products until payment is made for all added Products. Member may manage the number of Products deployed in the Console.


3.4 Agreement Anniversary Date, Subscription Period, and Renewals.

 

3.4.1 Anniversary Date. Unless otherwise communicated by Adobe, Member’s Anniversary Date is the day twelve months after Adobe accepts Member’s initial order (“Anniversary Date”).

 

3.4.2 Subscription Period. The Subscription Period means the period that a Member may use Products and includes the initial Subscription Period and any renewal Subscription Period. The initial Subscription Period means the period that begins on Member’s initial order date and ends the day prior to the Anniversary Date. With Product subscription renewal, a renewal Subscription Period will begin on the Anniversary Date and continue until the day prior to the next Anniversary Date. Use of subscription Products and any related services co-terminates on the last day of the Subscription Period. Most Consumables must be used within a single Subscription Period, and any unused Consumables will expire on the last day of the Subscription Period. Additional information may be found in the Program Guide.

 

3.4.3 Subscription Renewals. Adobe or Account Manager will use reasonable efforts to notify Member prior to any Subscription Period end date. Subscriptions must be renewed prior to the Anniversary Date in order to ensure uninterrupted use of Product. 


3.5 Upgrade Protection. Purchase of the subscription Product(s) includes upgrade entitlement, meaning Member will be entitled to receive the latest generally available version of a subscription Product purchased under the program as long as the Product subscription is paid and active at the time Adobe makes the new version of the Product commercially available.


3.6 Returns. Without prejudice to any rights that a Member may have under any consumer laws in the jurisdiction that Member is located, once a Product is installed or accessed, Member cannot return it. If Member requests a return prior to installation, Member must return the entire order. Member must request the return of Products purchased under the Agreement through Member’s Account Manager. Subject to any applicable warranty rights, return requests must be made to Member’s Account Manager within fourteen (14) days after Member’s original Product order date. Adobe must approve all return requests before any return is valid, as further described in the Program Guide.


3.7 Orders Direct From Adobe. If Member orders direct from Adobe, then this section will apply. Members can add Products at any time via the Admin Console or via an Adobe representative, but you must place an order for all Products with an Adobe representative. Products are priced at the rates current at the time ordered and prorated based on the days remaining in your Subscription Period. Notwithstanding the language in 3.2, 3.3, and 4.2, if you add Products via the Admin Console, then Adobe my invoice you directly for those products at the then current price. Your order may be subject to credit approval. Member will be charged the Product price, plus applicable taxes. For any ordered Products, Member must pay in full within 30 days of the invoice date in accordance with the invoice. Any amounts not paid when due will bear interest at a rate which is the lesser of 1.0% per month or the maximum rate permitted by applicable law on any overdue fees, from the date due until the date the full amount plus interest is paid in-full.

 

4. VIP Marketplace.

 

4.1. Section 4 “VIP Marketplace” will only apply to Products licensed through VIP Marketplace. Despite language in Section 3.4.3 above, at the end of your subscription term in VIP Marketplace, your annual subscription will automatically renew based on Adobe’s partner price: 1- in effect on your Anniversary Date and 2-for your qualifying discount level, unless you elect to change or cancel at least 3 days before your Anniversary Date or Adobe communicates otherwise. For clarity, your Account Manager will determine your Product fees. See VIP Marketplace Program Guide for details. Member may work with their Account Manager to adjust Product subscriptions.

 

4.2 VIP Marketplace Grace Period.  Notwithstanding Section 3.2 and 3.3, the Grace Period for VIP Marketplace Products is seven days after adding Products, not 14 days.  If Adobe does not receive an order for Products added through VIP Marketplace within the Grace Period, then such Products will be removed.  

 

5. Miscellaneous.

 

5.1 Transfer of License. Product TOUs do not govern restrictions regarding the transfer of Products licensed under or in connection with this Agreement. In limited circumstances, Adobe may permit the transfer of Product licenses under this Agreement in its sole and exclusive discretion. Such requests should be directed to Adobe Customer Service including a description of the reason for the proposed transfer and the contact information of the transferee. Additional information may be found in the Program Guide. For clarity, all offerings are licensed, not sold.


5.2 License Compliance. Member must maintain systems and/or procedures sufficient to ensure an accurate record of the number of copies of the Products that have been installed and/or deployed and retain records of Product installation and/or deployment for two (2) years after the termination of the Agreement. Adobe and/or its representatives may conduct an audit of Member’s Product installation/deployment not more than once per year on thirty (30) days written notice. Such audit will require Member to provide an unedited, accurate report of all Products installed/deployed and accessed by Member and all valid purchase documentation for all Products within thirty (30) days after request. If the audit findings demonstrate non-conformity with the Product licenses, Member shall purchase the necessary licenses within thirty (30) days after being so notified. Notwithstanding the foregoing, Adobe reserves the right to conduct an onsite audit of Member license installation and deployment after ten (10) business days’ prior written notice during regular business hours. This Section 5.2 shall survive termination of the Agreement for a period of two (2) years.


5.3 Use of Information. Adobe may use information about Member or Affiliate, including name and contact information, for fulfilling obligations under the Agreement. For more information, please see the Adobe Privacy Center (adobe.com/privacy).


5.4 Standing. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods is specifically excluded from application to this Agreement. If Member is an entity of the United States Federal Government, Member agrees that Adobe shall have standing and the right to assert any breach of contract claim arising out of this Agreement under the Contracts Disputes Act of 1978 (“Disputes Act”).


5.5 General. The parties are independent contractors, and this Agreement will not be construed to imply that either party is the agent or venturer of the other. Member may not assign this Agreement (by operation of law or otherwise) without the prior written consent of Adobe and any prohibited assignment is null and void. Adobe may, at its sole discretion, assign or novate this Agreement, without the prior written consent of Member. This Agreement will be binding upon and will inure to the benefit of any permitted successors or assignees. No modification will be valid or binding unless in writing. This Agreement (including the Program Guide, applicable TOUs, and any Exhibits or on-line enrollment information, if applicable) represents the entire agreement between the parties on the subject matter of this Agreement. If any provision of this Agreement is held unenforceable, the remainder of the Agreement will continue in full force and effect. If Member’s Account Manager is no longer an Authorized Adobe Account Manager, then after notice to Member, Adobe may move Member’s account under a then-current Authorized Adobe Account Manager.


This Agreement is prepared and is executed in the English language only. The English language version shall be controlling in all respects, and any version of this Agreement in any other language, shall not be binding and shall have no effect. Further, each party agrees that signature by Member or Adobe on any non-English language version, even if there is no signature(s) on the English language version shall be deemed execution of the English language version and binding on the parties. Without limiting the foregoing, if there is any conflict or inconsistency between the English language version of this Agreement and any other translated version of this Agreement, the English language version and interpretation shall prevail. All communications or notices to be made or given pursuant to this Agreement and any disputes arising under this Agreement shall be conducted or resolved in the English language.


5.6 Services. The Product may integrate with a variety of services, operated either by Adobe or by third parties, which may contain user-generated content that may be (a) inappropriate for minors, (b) illegal in some countries; or (c) inappropriate for viewing at work. A complete list of integrated services is available here: www.adobe.com/go/integratedservices. If Member wants to prevent viewing of or access to user-generated content services it may (i) disable service access in the Creative Cloud Packager, where that functionality is made available, or (ii) block access to the services via its network firewall. Services are not, under any circumstances, available to users under the age of thirteen (13). Adobe disclaims liability for all user-generated content available via the services. Member is responsible for determining whether use of the services complies with applicable laws in Member’s jurisdiction. Member is not entitled to a refund and Adobe is not liable (i) if access to the services is slowed or blocked as a result of government or service provider action, or (ii) if Adobe reasonably deems it necessary to block access to some or all of the services.

 

EXHIBIT B
EDUCATION, GOVERNMENT, AND NON-PROFIT MEMBERSHIPS

 

A. EDUCATION MEMBERS


For the Member who is an Education Entity (defined below), the following additional terms apply. Adobe reserves the right to terminate Education memberships if Member is not an Educational Entity.


1. Definitions Applicable to Education Members.

 

1.1 Education Entity. The following is a non-exhaustive list of qualified educational institutions: (a) Accredited (by official accrediting entities) public or private primary or secondary school providing full-time instruction; (b) Accredited public or private university or college (including community, junior, or vocational college) that grants degrees requiring not less than the equivalent of two years of full-time study; (c) Named educational institutions, if individually approved in writing by Adobe; (d) Hospitals that are wholly owned and operated by an otherwise qualified educational institution, where “wholly owned and operated” means the educational institution is sole owner of the hospital and the only entity exercising control over day to day operations; and (e) Higher education research laboratories that are i - a public institution and recognized by a national or regional educational authority, ii – teach students, and iii – can provide a copy of the bylaws that state the relationship with the controlling university.

 

The following is a non-exhaustive list of entities that are not qualified educational institutions: (a) Non-accredited schools; (b) Museums or libraries; (c) Hospitals not wholly owned and operated by an otherwise qualified educational institution; (d) Churches or religious organizations that are not accredited schools; (e) Vocational training centers or schools granting certificates for courses such as computer software training or job training that are not accredited schools or which grant degrees requiring less than the equivalent of two years of full-time study; (f) Military schools that do not grant academic degrees; and (g) Research laboratories not recognized by a national or state ministry overseeing education. For example, institutions recognized by other government branches are not eligible.


The above lists do not apply to the countries as listed in Section 1.2 (Regional-Specific Definition) below.


1.2 Regional-Specific Definition of Education Entity.

 

(a) Asia Pacific Countries excluding Southeast Asia Countries as defined in sub-paragraph (b) below. If Education Member is resident in Australia, New Zealand, India, Sri Lanka, China mainland, Hong Kong SAR of China., Taiwan region, the Republic of Korea, the People’s Republic of Bangladesh, the Federal Democratic of Nepal, the Republic of the Union of Myanmar, Pakistan or Mongolia or any country designated by Adobe from time to time, “Education Entity” shall mean the entities that satisfy the meaning of “Qualified Educational Users” (except for the sections entitled “Full and Part Time Faculty and Staff” and “Students”) designated by Adobe on https://www.adobe.com/special/avl/education/ap/index2.html (or its successor web site thereto), as updated by Adobe from time to time.


(b) Southeast Asia Countries. If Education Member is resident in Indonesia, Malaysia, Philippines, Singapore, Thailand and Vietnam, “Education Entity” or “Education Institution” shall have the respective meanings designated by Adobe on https://www.adobe.com/go/edu_entity_sea (or its successor web site thereto), as updated by Adobe from time to time.


(c) Japan. If Education Member is resident in Japan, “Education Entity” or “Education Institution” shall have the respective meanings designated by Adobe on https://helpx.adobe.com/jp/x-productkb/policy-pricing/cq081918191.html (or its successor web site thereto), as updated by Adobe from time to time.

 

1.3 Primary and Secondary Schools. Primary and Secondary Schools are defined in the Program Guide. Adobe may have offers available to members that qualify as Primary and Secondary Schools. Adobe reserves the right to terminate Primary and Secondary School licenses and memberships if Member is not a Primary and Secondary School as defined in the Program Guide. See VIP Education Program Guide for additional details and http://www.adobe.com/go/primary-secondary-institution-eligibility-guidelines.


B. GOVERNMENT MEMBERS


For the Member who is a Government Entity (defined below), the following additional terms apply. Adobe reserves the right to terminate Government memberships if Member is not a Government Entity.


1. Definitions Applicable to Government Members.

Government Entity. Participation is contingent upon Member (and each Affiliate) being a “government entity”, which means: (a) a federal, central, or national agency, department, commission, board, office, council, or authority (executive, legislative, or judicial); (b) a municipality, special district, city, county, or state governmental agency, department, commission, board, office, council, entity, or authority, or any other agency in the executive, legislative, or judicial branch of state or local government that is created by the constitution or a statute of the governing state, including the district, regional, and state administrative offices; or (c) a public agency or organization created and/or funded by federal, state, or local governments and authorized to conduct the business of governing or supporting citizens, businesses, or other governmental entities. For the avoidance of doubt, the following entities are not Government Entities: private “for profit” companies, non-profit organizations, trade or industry associations, higher education institutions, and labor unions, even those conducting work on behalf of or with government agencies, unless such entity has a specific letter of authorization from a U.S Government Entity pursuant to FAR Part 51. Member represents to Adobe that it and its Affiliates are government entities. A list of qualified “Government Entities” for Japan is available at: http://www.adobe.com/jp/aboutadobe/volumelicensing/pdfs/cl5_government_license_table.pdf.


1.1 For France: a Government Entity is either an agency; a minister; a commission, board, office, or council (national, regional, or local); a city; a region; or any entity subject to the French Public Law and under the administration of a government entity.


2. Terms Applicable to Government Members.


2.1 Additional Restrictions. For United States Federal Government Members, it is understood that any orders are subject to FAR 52.232-18 (Availability of Funds) and FAR 52.232-19 (Availability of Funds for the Next Fiscal Year) and therefore United States Federal Government Members shall not deploy any Product unless funds are available to pay for such orders. To the extent any state or local government entity is subject to similar requirements, such entities shall not deploy any Product unless funds are available to pay for such orders.


2.2 Termination. This Agreement may be terminated by a Member who is a United States federal government customer pursuant to FAR 52.249-1 (Termination for Convenience of the Government). Adobe may change the Terms at its sole discretion.


2.3 Federal Government Members. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §227.7202-1 through §227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Federal Government End Users (a) only as Commercial Items and (b) with only those rights as are granted to all other end users pursuant to the terms and conditions of this Agreement and the TOUs. C. NON-PROFIT MEMBERS
