CLP 4.5 is a flexible volume software licensing program offered through Adobe® Open Options 4.5. As a courtesy, Adobe makes its CLP terms and conditions available in multiple languages for your review and consideration. If there is a conflict between the terms of the courtesy language version and the English language version, you acknowledge that the terms of the English language version shall control.

| Program description | CLP 4.5 is a membership-based customer loyalty program that rewards Program Members with discount levels over a two-year membership period based on the point value of an initial order. Program Members can achieve deeper discount levels as they and their affiliates continue to accumulate points throughout the two-year period. CLP members have no further order commitment beyond the initial order. CLP offers the discount level to all new and upgrade software orders and Upgrade Plan orders. |

| Education CLP eligibility | "Educational Institution" means an accredited academic institution, including but not limited to a primary or secondary school, college or university, vocational training center or adult education center, or governmental agency that administers schools (such as a school district, ministry, or board of education) and is consistent with the examples of qualified Educational Institutions as set forth below, but shall expressly exclude nonaccredited schools or entities that do not grant academic degrees, including, without limitation, the nonqualified educational institutions, also set forth below. Examples of Qualified and Nonqualified Educational Institutions: The following is a nonexhaustive list of qualified Educational Institutions: (i) Accredited (by official accrediting entities) public or private primary or secondary school providing full-time instruction; (ii) Accredited public or private university or college (including community, junior, or vocational college) that grants degrees requiring not less than the equivalent of two years of full-time study; (iii) Named Educational Institutions approved by Adobe, only if individual named entities are approved in writing; (iv) Hospitals that are wholly owned and operated by an otherwise qualified Educational Institution, where "wholly owned and operated" means the Educational Institution is the sole owner of the hospital and the only entity exercising control over day-to-day operations; and (v) Higher education research laboratories that are public institutions and recognized by a national or state educational authority. The following is a nonexhaustive list of entities that are not qualified Educational Institutions: (i) Nonaccredited schools; (ii) Museums or libraries; (iii) Hospitals not wholly owned and operated by an otherwise qualified Educational Institution; (iv) Churches or religious organizations that are not accredited schools; (v) Vocational training centers or schools granting certificates for courses such as computer software training or job training that are not accredited schools or that grant degrees no less than the equivalent of two years of full-time study; (vi) Military schools that do not grant academic degrees; and (vii) Research laboratories not recognized by a national or state ministry overseeing education. For example, institutions recognized by other government branches are not eligible. Other institutions classified within the definition of "educational Institutions" as specifically required or permitted in specific countries in Europe, once this classification is approved by Adobe, following receipt of adequate evidence or justification. "Europe" means all full members of the European Union and Norway, Lichtenstein, and Switzerland. |

| How to enroll | You can complete the CLP 4.5 enrollment process online in just four simple steps:

| Self-Enrolled Affiliate | If your educational organization is a qualified affiliate of an active CLP 4.5 Education member, you may submit a separate affiliate enrollment form. These enrollments will be linked to the Program Member's CLP 4.5 membership number. You will need to provide the active member's CLP membership number on the affiliate enrollment form. As a Self-Enrolled Affiliate, you will receive your own set of serial numbers, designate your own Adobe License Center (ALC), and choose your own Upgrade Plan payment option — yet take advantage of the Program Member's discount level and help improve the overall discount level of the membership. Within 30 days after you receive your CLP affiliate enrollment number, you must place an initial order with a value of at least 1,000 points. All CLP 4.5 terms and conditions apply to Self-Enrolled Affiliates, except where noted. |

| Affiliate definition | Affiliates are entities that have legal personality and, in the case of Education affiliates, are related schools, colleges, and/or universities that are owned, controlled, or under common ownership with your organization. Ownership is deemed to be at least 50 percent of the equity having the power to vote on or direct the affairs of the entity controlled by, controlling, or under common control with your organization. | ||||||||
| Protecting your CLP membership |
Your CLP membership number and your software serial numbers are unique to you and your affiliates. Do not share your CLP membership number or any serial numbers with any unauthorized parties. If you include affiliates on your enrollment form, you are responsible for their compliance with the program rules. If affiliates are Self-Enrolled, they will be individually responsible for compliance with the program rules, including protecting their membership and serial numbers. |

| Program availability | Membership in CLP 4.5 for Education is regional. Orders cannot be placed outside the region in which the CLP membership is established. | ||||||||
| Membership term | Program membership begins the day the CLP membership number is created and continues through the end of the same month two years later, provided all obligations are met. | ||||||||

Adobe updates the calculator periodically as product availabilities change. All products and point values are consistent in every region. |

| Improving your discount level | You may improve your discount level as you and your enrolled affiliates continue to order. On the 26th day of each month, Adobe reviews the total points purchased by each Program Member, including its affiliates, from the effective date of the Program Member's CLP 4.5 membership through the 25th of that month. If a Program Member's total points accumulated through the 25th day have qualified the Program Member for the next discount level, beginning on the first day of the following month, the Program Member is eligible for the improved level. Adobe will send notification of the improved discount level to the Program Member's main contact, designated ALC, and Adobe account manager, and the main contact and designated ALC for each Self-Enrolled Affiliate. Program Members are responsible for informing any other channel partners with whom they do business that they are eligible for the improved discount level. |

| Concurrency | Program Members of CLP 4.5 for Education may order concurrent licenses for lab or administrative use of Adobe products. However, this option may be subject to additional fees, and you must maintain and use adequate verification or monitoring software to manage the concurrency. |

| Procurement and verification | You and your Self-Enrolled Affiliates must report all software installation/deployment to the ALC or Adobe Authorized Education Reseller of your choice within the calendar month during which the activity takes place. All purchases must include your CLP 4.5 membership number as well as other required information for an Adobe Authorized Education Reseller or ALC to accept the order. You and your affiliates must retain records of your software installation/deployment as well as records of your license entitlements. To ensure that your installation/deployment is consistent with your license entitlements, Adobe or its representatives may conduct a verification of your software installation/deployment not more than once per year upon 30 days' notification. |

| Fulfillment | After your CLP enrollment becomes active, Adobe will provide you with access to your online purchase history report, printable customer statements, and a list of your serial numbers through our web-based licensing tool. If you are a new CLP member, you will receive a login and temporary password for the Adobe Licensing Web Site. Returning CLP members or prior members of the TLP program may continue to use their existing login and password. |

| Media and documentation | You and your affiliates may order hard media from the Adobe License Center or Adobe Authorized Education Reseller of your choice. CLP members are not permitted to have more media than licenses. |

| Electronic Software Delivery (ESD) | Adobe offers ESD for most of its products to CLP members. | ||||||||
| Serial numbers | Each serial number covers a single product, version, language, and platform, except for some products available in both Macintosh and Windows® versions. For these products, you receive serial numbers for both platforms, even when only one platform is licensed. You use the same serial number for all installations of a given product. New serial numbers are issued for upgrades. |

| Upgrade Plan | Upgrade Plan is a fixed cost that you may pay to receive future versions of software product upgrades covered under Upgrade Plan during the term of your CLP membership. Upgrade Plan can be purchased for all, some, or none of any purchased licenses. You receive points for the value of Upgrade Plan purchases. During the first six months of your CLP membership, you may purchase Upgrade Plan for licenses acquired before your CLP membership term began. Upgrade Plan costs are , even if Adobe discontinues a covered product. |

| Upgrade Plan renewal | Adobe notifies you 90 days before your Upgrade Plan coverage is due to expire. For uninterrupted coverage, you must renew before your Upgrade Plan anniversary date. You may place the renewal order anytime, but early renewal does not change the anniversary date. | ||||||||
| Transfer of license |

| Returns | You must request a return of purchases made under your CLP 4.5 membership through the same ALC or Adobe Authorized Education Reseller that placed your original order. Your request must be made within 30 days of the original license order. Adobe must approve all return requests. | ||||||||
