ZMIANA WARUNKÓW PROGRAMU ADOBE VALUE INCENTIVE PLAN

NINIEJSZA ZMIANA („ZMIANA”) UMOWY UCZESTNICTWA („UMOWA”) PROGRAMU VALUE INCENTIVE PLAN („VIP” LUB „PROGRAM”) OKREŚLA DODATKOWE WARUNKI UCZESTNICTWA (ZGODNIE Z DEFINICJĄ PONIŻEJ) W TYM PROGRAMIE. ZMIANA ZACZYNA OBOWIĄZYWAĆ Z DNIEM ZAAKCEPTOWANIA PRZEZ UCZESTNIKA NINIEJSZYCH WARUNKÓW ORAZ ZATWIERDZENIA PRZEZ ADOBE NINIEJSZEJ ZMIANY („DATA WEJŚCIA W ŻYCIE”). NINIEJSZA ZMIANA STANOWI UMOWĘ ZAWARTĄ MIĘDZY ADOBE (ZGODNIE Z DEFINICJĄ W UMOWIE) A UCZESTNIKIEM.
  1. Okres obowiązywania i rozwiązanie Niniejsza Zmiana zaczyna obowiązywać w dniu Daty Wejścia w Życie i wygasa trzydzieści dwa dni przed upływem trzeciej Daty Rocznicy Wejścia w Życie, chyba że zostanie rozwiązana wcześniej na warunkach określonych w Umowie lub Zmianie. Niezależnie od powyższego, jeśli Uczestnik ponownie zaakceptuje tę Zmianę, podczas gdy biegnie już istniejący Okres Obowiązywania Zmiany, wówczas ten istniejący Okres Obowiązywania Zmiany nie ulegnie modyfikacji. Zmiana ulega automatycznemu rozwiązaniu, jeśli: (a) Umowa Uczestnika ulegnie rozwiązaniu lub (b) Uczestnik otrzymał niniejszą Zmianę w związku z uczestnictwem w Planie Powiązanym VIP oraz: i- w ramach Planu Powiązanego nie został utrzymany status VIP Select lub ii- Plan Powiązany został zakończony, lub iii- Uczestnik nie jest już objęty Planem Powiązanym.
  2. Zobowiązanie trzyletnie Z wyłączeniem specjalnych i promocyjnych ofert cenowych, o ile są dostępne dla Uczestnika, w Okresie Obowiązywania Zmiany Adobe będzie oferować takie same ceny na Produkty (a) bezpośrednim partnerom handlowym Adobe, jeśli transakcja Uczestnika realizowana jest za pośrednictwem sprzedawcy (resellera), albo (b) Uczestnikowi, jeśli zawiera on transakcję bezpośrednio z Adobe. W roku drugim i trzecim Uczestnik musi do Daty Rocznicy odnowić co najmniej taką samą liczbę licencji, jaka jest widoczna na stronie zarządzania kontem w instancji Admin Console przypisanej do Programu po upływie 15 dni roboczych od Daty Wejścia w Życie („Minimalna Liczba Licencji”). Uczestnik może zmienić Opiekuna Konta w czasie trwania Umowy, jeśli tak zdecyduje. W celu uniknięcia wątpliwości uściśla się, że w związku z faktem, iż Produkty są dystrybuowane za pośrednictwem partnerów handlowych Adobe, Adobe nie ustala cen pobieranych od Uczestnika przez partnerów handlowych i nie może zagwarantować określonych upustów dla Uczestnika. Faktyczne opłaty licencyjne pobierane od Uczestnika określane są przez sprzedawcę (resellera), za pośrednictwem którego realizowana jest transakcja.
  3. Naruszenie W roku drugim i trzecim, jeśli Uczestnik nie odnowi Minimalnej Liczby Licencji przed upływem Daty Rocznicy Uczestnika, będzie to stanowiło naruszenie niniejszych Zmian i Adobe może wypowiedzieć wszystkie licencje, które zostały przedłużone w trakcie takiego corocznego okresu odnawiania na zasadach dotyczących cen dla partnerów wynikających z treści niniejszej Zmiany.
  4. Automatyczne odnowienie i migracja z programu VIP do programu VIP Marketplace Licencje uczestników zostaną przeniesione z programu VIP do programu VIP Marketplace w Okresie Obowiązywania niniejszej Zmiany. Po dołączeniu do VIP Marketplace Uczestnik musi (i) włączyć automatyczne odnawianie dla co najmniej Minimalnej Liczby Licencji oraz (ii) automatycznie odnowić co najmniej Minimalną Liczbę Licencji Uczestnika w pierwszą i drugą Datę Rocznicy po Dacie Wejścia w Życie.
  5. Terminy zapisane w treści niniejszej Zmiany wielkimi literami, o ile nie zostały wyraźnie zdefiniowane w Zmianie, zachowują znaczenie określone w Umowie lub Przewodniku po Programie. Z wyjątkiem dodatkowych warunków określonych w niniejszej Zmianie wszystkie pozostałe warunki Umowy pozostają w mocy. Wszelkie rozbieżności między niniejszą Zmianą a Umową w związku z przedmiotem niniejszej Zmiany będą rozstrzygane na korzyść Zmiany. Niniejsza Zmiana może być podpisana w dowolnej liczbie egzemplarzy, z których każdy ma moc oryginału, ale które łącznie stanowią jedną umowę.
  6. Niniejsza Zmiana została sformułowana i jako umowa jest zawierana wyłącznie w języku angielskim. Wersja w języku angielskim jest rozstrzygająca we wszystkich aspektach, a wszelkie wersje Zmiany zapisane w innych językach nie są wiążące i nie wywołują skutków prawnych. Ponadto obie strony zgadzają się, że podpis Uczestnika lub Adobe na jakiejkolwiek wersji w języku innym niż angielskim, nawet przy braku podpisu/podpisów na wersji angielskiej, uznaje się za zawarcie umowy w języku angielskim jako wiążącej dla stron. Z zachowaniem powyższego zastrzeżenia, w razie wystąpienia jakichkolwiek sprzeczności lub różnic między wersją Zmiany w języku angielskim a jej wersją przetłumaczoną na jakikolwiek inny język rozstrzygająca będzie treść i interpretacja wersji w języku angielskim. Wszelka korespondencja i oświadczenia w sprawie niniejszej Zmiany, a także wszelkie spory powstałe w związku ze Zmianą będą prowadzone, składane i rozstrzygane w języku angielskim.

AMENDMENT TO ADOBE VALUE INCENTIVE PLAN TERMS AND CONDITIONS

THIS AMENDMENT (“AMENDMENT”) TO THE VALUE INCENTIVE PLAN (“VIP” OR “PROGRAM”) MEMBERSHIP AGREEMENT (“AGREEMENT”) SETS FORTH THE ADDITIONAL TERMS OF YOUR PARTICIPATION AS A MEMBER (DEFINED BELOW) IN THE PROGRAM. THE AMENDMENT IS EFFECTIVE AS OF THE DATE MEMBER ACCEPTS THESE TERMS AND ADOBE APPROVES THIS AMENDMENT (“EFFECTIVE DATE”). THIS AMENDMENT IS ENTERED INTO BY AND BETWEEN ADOBE (DEFINED IN THE AGREEMENT) AND MEMBER.
  1. Term and Termination. The Amendment Term commences on the Effective Date and expires thirty-two days prior to the third Anniversary Date after the Effective Date, unless terminated earlier according to the terms of the Agreement or this Amendment. Notwithstanding the foregoing, if Member re-accepts this Amendment at any time during their existing Amendment Term, then the existing Amendment Term does not change. This Amendment automatically terminates if: (a) Member’s Agreement terminates; or (b) if Member has obtained this Amendment through participation in a VIP Linked Membership and: i-the Linked Membership fails to maintain VIP Select status, or ii- the Linked Membership is terminated, or iii-Member is no longer participating in the Linked Membership.
  2. Three Year Commit. Excluding special and promotional pricing if available to Member, during the Amendment Term Adobe will offer the same price for Products to either (a)-Adobe’s direct channel partner, if Member’s transaction is through a Reseller, or (b) Member, if Member’s transaction is direct with Adobe. In years two and three Member must renew on or before Member’s Anniversary Date at least the same number of licenses as displayed in the account management page of the Program Admin console 15 business days after the Effective Date (the “Minimum Number of Licenses”). Member may change its Account Manager during the term of the Agreement if it so chooses. For clarity, if the Products are distributed through Adobe’s channel partners, then Adobe does not set the pricing that channel partners charge Member and Adobe cannot guarantee any particular discount to Member. Member’s actual license fees are determined by its Reseller, if a transaction is through a Reseller.
  3. Breach. In years two and three, if Member does not renew the Minimum Number of Licenses on or before Member’s Anniversary Date, then Member has breached this Amendment and Adobe may terminate any licenses renewed during such annual renewal period under the partner pricing provided by this Amendment.
  4. Auto-renewal and Migration from VIP to VIP Marketplace. Member’s licenses will be migrated from VIP to VIP Marketplace during this Amendment Term. Once in VIP Marketplace Member must (i) set auto-renewal on for at least the Minimum Number of Licenses, and (ii) auto-renew at least the Minimum Number of Licenses on Member’s first and second Anniversary Date after the Effective Date.
  5. Unless otherwise expressly defined in this Amendment, capitalized terms used in this Amendment have the same meaning set forth in the Agreement or the Program Guide. Except for the additional terms provided in this Amendment, all other terms and conditions of the Agreement remain in full force and effect. Any inconsistency between this Amendment and the Agreement regarding the subject matter of this Amendment shall be resolved in favor of this Amendment. This Amendment may be executed in any number of counterparts, each of which will be deemed an original, but all of which together constitute one instrument.
  6. This Amendment is prepared and is executed in the English language only. The English language version is controlling in all respects, and any version of this Amendment in any other language, is not binding and has no effect. Further, each party agrees that signature by Member or Adobe on any non-English language version, even if there is no signature(s) on the English language version will be deemed execution of the English language version and binding on the parties. Without limiting the foregoing, if there is any conflict or inconsistency between the English language version of this Amendment and any other translated version of this Amendment, the English language version and interpretation will prevail. All communications or notices to be made or given pursuant to this Amendment and any disputes arising under this Amendment will be conducted or resolved in the English language.
