ADITIVO AOS TERMOS E CONDIÇÕES DO ADOBE VALUE INCENTIVE PLAN

ESTE ADITIVO (“ADITIVO”) AO CONTRATO DE ASSOCIAÇÃO COMERCIAL (“CONTRATO”) AO VALUE INCENTIVE PLAN (“VIP” OU “PROGRAMA”) ESTABELECE OS TERMOS ADICIONAIS DE SUA PARTICIPAÇÃO COMO MEMBRO (DEFINIDO ABAIXO) NO PROGRAMA. O ADITIVO ENTRA EM VIGOR A PARTIR DA DATA EM QUE O MEMBRO ACEITAR ESTES TERMOS E QUANDO A ADOBE APROVAR ESTE ADITIVO (“DATA DE INÍCIO DE VIGÊNCIA”). ESTE ADITIVO É CELEBRADO ENTRE A ADOBE (DEFINIDA NO CONTRATO) E O MEMBRO.
  1. Vigência e Rescisão. A Vigência do Aditivo começa na Data de Início de Vigência e assim permanece até expirar automaticamente trinta e dois dias antes da terceira Data de Aniversário após a Data de Início de Vigência, a menos que tenha sua rescisão antecipada de acordo com os termos do Contrato ou deste Aditivo. Não obstante o supramencionado, se o Membro aceitar novamente este Aditivo a qualquer momento durante a Vigência do Aditivo, esta não será alterada. Este Aditivo será rescindido automaticamente se: (a) o Contrato do Membro for rescindido; ou (b) se o Membro tiver obtido este Aditivo pela participação em um VIP Linked Membership e: (i) o VIP Linked Membership não mantiver o status de VIP Select, ou (ii) o VIP Linked Membership for rescindido, ou (iii) o Membro não participar mais do VIP Linked Membership.
  2. Compromisso de Três Anos. Excluindo preços especiais e promocionais, se disponíveis para o Membro, durante o Prazo do Aditivo, a Adobe oferecerá o mesmo preço dos Produtos para (a) o parceiro/ canal direto da Adobe, se a transação do Membro for feita por meio de uma Revenda, ou (b) o Membro, se a transação do Membro for feita diretamente com a Adobe. No segundo e no terceiro ano, o Membro deve renovar até a Data de Aniversário, no mínimo, a mesma quantidade de licenças exibida na tela de gerenciamento de conta no Admin Console do VIP 15 dias úteis após a Data de Vigência (o “Número Mínimo de Licenças”). O Membro pode alterar seu Gerente de Conta durante a vigência do Contrato se assim o desejar. Para maior clareza, se os Produtos são distribuídos pelos parceiros da Adobe, então a Adobe não define os preços que os parceiros cobram do Membro e a Adobe não pode garantir qualquer desconto específico para o Membro. Os preços finais da licença cobrados do Membro são determinados por sua Revenda, se uma transação for realizada por meio de uma Revenda.
  3. Violação. No segundo e terceiro ano, se o Membro não renovar o Número Mínimo de Licenças até a Data de Aniversário, então o Membro terá violado este Aditivo, e a Adobe poderá cancelar quaisquer licenças renovadas durante esse período de renovação anual de acordo com os preços do parceiro informados neste Aditivo.
  4. Renovação automática e Migração do VIP para o VIP Marketplace. As licenças do Membro serão migradas do VIP para o VIP Marketplace durante a Vigência deste Aditivo. Uma vez no VIP Marketplace, o Membro deve (i) ativar a renovação automática para pelo menos o Número Mínimo de Licenças e (ii) renovar automaticamente pelo menos o Número Mínimo de Licenças na primeira e segunda Data de Aniversário do Membro após a Data de Início de Vigência.
  5. Salvo se expressamente definido neste Aditivo, os termos em letras maiúsculas neste Aditivo têm o mesmo significado estabelecido no Contrato ou no Guia do Programa. Exceto para os termos adicionais fornecidos neste Aditivo, todos os outros termos e condições do Contrato permanecem em pleno vigor e efeito. Qualquer inconsistência entre este Aditivo e o Contrato que se refira ao objeto deste Aditivo deve ser resolvida com prevalência deste Aditivo. Este Aditivo pode ser assinado em várias vias, cada uma das quais será considerada como original, mas todas as quais juntas constituem um único instrumento.
  6. Este Aditivo é preparado e assinado apenas em inglês. As versões em inglês são prevalentes em todos os aspectos, e qualquer versão deste Aditivo em outro idioma não é vinculante e não tem nenhum efeito. Além disso, as partes concordam que a assinatura do Membro ou da Adobe em qualquer versão que não seja em inglês, mesmo que não haja assinatura(s) na versão em inglês, será considerada como assinatura da versão em inglês e vinculante para as partes. Sem limitar-se ao disposto acima, se houver qualquer conflito ou inconsistência entre a versão em inglês deste Aditivo e qualquer outra versão traduzida deste Aditivo, a versão em inglês e sua interpretação prevalecerão. Todos os comunicados e avisos a serem feitos ou dados de acordo com este Aditivo e quaisquer controvérsias que surgirem sob este Aditivo serão conduzidos ou resolvidos em inglês.

AMENDMENT TO ADOBE VALUE INCENTIVE PLAN TERMS AND CONDITIONS

THIS AMENDMENT (“AMENDMENT”) TO THE VALUE INCENTIVE PLAN (“VIP” OR “PROGRAM”) MEMBERSHIP AGREEMENT (“AGREEMENT”) SETS FORTH THE ADDITIONAL TERMS OF YOUR PARTICIPATION AS A MEMBER (DEFINED BELOW) IN THE PROGRAM. THE AMENDMENT IS EFFECTIVE AS OF THE DATE MEMBER ACCEPTS THESE TERMS AND ADOBE APPROVES THIS AMENDMENT (“EFFECTIVE DATE”). THIS AMENDMENT IS ENTERED INTO BY AND BETWEEN ADOBE (DEFINED IN THE AGREEMENT) AND MEMBER.
  1. Term and Termination. The Amendment Term commences on the Effective Date and expires thirty-two days prior to the third Anniversary Date after the Effective Date, unless terminated earlier according to the terms of the Agreement or this Amendment. Notwithstanding the foregoing, if Member re-accepts this Amendment at any time during their existing Amendment Term, then the existing Amendment Term does not change. This Amendment automatically terminates if: (a) Member’s Agreement terminates; or (b) if Member has obtained this Amendment through participation in a VIP Linked Membership and: i-the Linked Membership fails to maintain VIP Select status, or ii- the Linked Membership is terminated, or iii-Member is no longer participating in the Linked Membership.
  2. Three Year Commit. Excluding special and promotional pricing if available to Member, during the Amendment Term Adobe will offer the same price for Products to either (a)-Adobe’s direct channel partner, if Member’s transaction is through a Reseller, or (b) Member, if Member’s transaction is direct with Adobe. In years two and three Member must renew on or before Member’s Anniversary Date at least the same number of licenses as displayed in the account management page of the Program Admin console 15 business days after the Effective Date (the “Minimum Number of Licenses”). Member may change its Account Manager during the term of the Agreement if it so chooses. For clarity, if the Products are distributed through Adobe’s channel partners, then Adobe does not set the pricing that channel partners charge Member and Adobe cannot guarantee any particular discount to Member. Member’s actual license fees are determined by its Reseller, if a transaction is through a Reseller.
  3. Breach. In years two and three, if Member does not renew the Minimum Number of Licenses on or before Member’s Anniversary Date, then Member has breached this Amendment and Adobe may terminate any licenses renewed during such annual renewal period under the partner pricing provided by this Amendment.
  4. Auto-renewal and Migration from VIP to VIP Marketplace. Member’s licenses will be migrated from VIP to VIP Marketplace during this Amendment Term. Once in VIP Marketplace Member must (i) set auto-renewal on for at least the Minimum Number of Licenses, and (ii) auto-renew at least the Minimum Number of Licenses on Member’s first and second Anniversary Date after the Effective Date.
  5. Unless otherwise expressly defined in this Amendment, capitalized terms used in this Amendment have the same meaning set forth in the Agreement or the Program Guide. Except for the additional terms provided in this Amendment, all other terms and conditions of the Agreement remain in full force and effect. Any inconsistency between this Amendment and the Agreement regarding the subject matter of this Amendment shall be resolved in favor of this Amendment. This Amendment may be executed in any number of counterparts, each of which will be deemed an original, but all of which together constitute one instrument.
  6. This Amendment is prepared and is executed in the English language only. The English language version is controlling in all respects, and any version of this Amendment in any other language, is not binding and has no effect. Further, each party agrees that signature by Member or Adobe on any non-English language version, even if there is no signature(s) on the English language version will be deemed execution of the English language version and binding on the parties. Without limiting the foregoing, if there is any conflict or inconsistency between the English language version of this Amendment and any other translated version of this Amendment, the English language version and interpretation will prevail. All communications or notices to be made or given pursuant to this Amendment and any disputes arising under this Amendment will be conducted or resolved in the English language.
