ADITIVO AOS TERMOS E CONDIÇÕES DO ADOBE VALUE INCENTIVE PLAN
1. Vigência e Rescisão do Aditivo. A menos que rescindido antecipadamente de acordo com os termos deste Aditivo, a Vigência do Aditivo se inicia na Data de Início de Vigência e termina na Data de Término (“Vigência do Aditivo”). A “Data de Início de Vigência” é a data em que o Membro aceita estes termos e quando a Adobe aprova este Aditivo. A “Data de Término” é um dia antes da terceira Data de Aniversário após a Data de Início de Vigência. Não obstante o acima exposto, se o Membro aceitar este Aditivo dentro de 30 dias antes da Data de Aniversário do Membro, então a Data de Término será um dia antes da quarta Data de Aniversário após a Data Efetiva. Este Aditivo será automaticamente rescindido se o Membro não solicitar o Compromisso Mínimo da Adobe em até 30 dias após a Data de Início de Vigência. Durante a Vigência do Aditivo, o Membro não poderá rescindir o Contrato de acordo com a Seção 1.2 do Contrato, exceto mediante violação material não sanada da Adobe após notificação por escrito com 30 dias de antecedência.
2. Compromisso de Três Anos. Com a exceção de preços especiais e promocionais, durante a Vigência do Aditivo, (a) a Adobe oferecerá o mesmo preço disponível na Data de Início de Vigência dos Produtos ao parceiro de canal direto da Adobe do Membro e (b) o Membro deverá renovar automaticamente pelo menos o Compromisso Mínimo na primeira e na segunda Datas de Aniversário após a Data de Início de Vigência. O “Compromisso Mínimo” refere-se à quantidade e ao tipo de licenças identificados no Admin Console antes da aceitação deste Aditivo pelo Membro. O Compromisso Mínimo é exibido no seu Admin Console durante a Vigência do Aditivo. Durante a Vigência do Aditivo, o Membro só poderá devolver uma quantidade de licenças que garanta que o Membro mantenha o Compromisso Mínimo. O Compromisso Mínimo não é elegível para devoluções.
3. Aumento do Compromisso Mínimo. Se o Membro desejar aumentar seu Compromisso Mínimo durante a Vigência do Aditivo, ele poderá aceitar novamente estes termos com o Compromisso Mínimo aumentado exibido no Admin Console. Após essa nova aceitação, o Compromisso Mínimo aumentado entrará em vigor e será exibido no Admin Console pelo restante da Vigência do Aditivo existente. Não obstante o teor da Seção 1 acima, se o Membro aceitar novamente estes termos com um Compromisso Mínimo aumentado durante a Vigência do Aditivo, então a Data de Início de Vigência e a Data de Termino existentes do Aditivo não serão alteradas. O Membro não pode reduzir seu Compromisso Mínimo durante a Vigência do Aditivo.
4. Migração de Membros do Compromisso de Três Anos do VIP. Se o Membro tiver um aditivo de compromisso de três anos do VIP atual, migrar para o VIP Marketplace e aceitar subsequentemente este Aditivo, esta Seção 4 será aplicável. Mediante aceitação deste Aditivo, (a) não obstante o teor da Seção 1 acima, sua Data de Término será a mesma em que seu aditivo ao compromisso de três anos do VIP estava definido para expirar, (b) a oferta de preço de seu parceiro será baseada na data de aceitação de seu Compromisso de três anos do VIP e (c) este Aditivo rege a Vigência do Aditivo. A partir da Data de Início de Vigência, seu aditivo ao compromisso de três anos do VIP será substituído por este Aditivo.
5. Gerente de Conta. Seu Gerente de Conta é seu revendedor. O Membro pode alterar seu Gerente de Conta durante a vigência do Contrato se assim o desejar. Para fins de clareza, a Adobe não define os preços cobrados do Membro por parceiros de canal, e a Adobe não garante nenhum desconto específico ao Membro. As taxas de licença reais do Membro são determinadas por seu Revendedor.
6. Salvo se expressamente definido neste Aditivo, os termos em letras maiúsculas neste Aditivo têm o mesmo significado estabelecido no Contrato ou no Guia do Programa. Exceto para os termos fornecidos neste Aditivo, todos os outros termos e condições do Contrato permanecem em pleno vigor e efeito. Qualquer inconsistência entre este Aditivo e o Contrato que se refira ao objeto deste Aditivo deve ser resolvida com prevalência deste Aditivo. Este Aditivo pode ser assinado em várias vias, cada uma das quais será considerada como original, mas todas as quais juntas constituem um único instrumento.
7. Este Aditivo é preparado e assinado apenas em inglês. As versões em inglês são prevalentes em todos os aspectos, e qualquer versão deste Aditivo em outro idioma não é vinculante e não tem nenhum efeito. Além disso, as partes concordam que a assinatura do Membro ou da Adobe em qualquer versão que não seja em inglês, mesmo que não haja assinatura(s) na versão em inglês, será considerada como assinatura da versão em inglês e vinculante para as partes. Sem limitar-se ao disposto acima, se houver qualquer conflito ou inconsistência entre a versão em inglês deste Aditivo e qualquer outra versão traduzida deste Aditivo, a versão em inglês e sua interpretação prevalecerão. Todos os comunicados e avisos a serem feitos ou dados de acordo com este Aditivo e quaisquer disputas que surgirem sob este Aditivo serão conduzidas ou resolvidas em inglês
AMENDMENT TO ADOBE VALUE INCENTIVE PLAN TERMS AND CONDITIONS
1. Amendment Term and Termination. Unless terminated earlier according to the terms of this Amendment, the Amendment commences on the Effective Date and ends on the End Date (the “Amendment Term”). The “Effective Date” is the date Member accepts these terms and Adobe approves this Amendment. The “End Date” is one day prior to the third Anniversary Date after the Effective Date. Notwithstanding the foregoing, if Member accepts this Amendment within 30 days before Member’s Anniversary Date, then the End Date is one day prior to the fourth Anniversary Date after the Effective Date. This Amendment automatically terminates if Member has not ordered the Minimum Commitment from Adobe within 30 days after the Effective Date. During the Amendment Term, Member may not terminate the Agreement pursuant to Section 1.2 of the Agreement, except upon Adobe’s uncured material breach after 30 days’ written notice.
2. Three Year Commit. Excluding special and promotional pricing, during the Amendment Term, (a) Adobe will offer the same price available on the Effective Date for Products to Adobe’s direct channel partner for Member, and (b) Member must auto-renew at least the Minimum Commitment on Member’s first and second Anniversary Date after the Effective Date. The “Minimum Commitment” is the quantity and type of licenses identified in the Admin Console before Member accepts this Amendment. The Minimum Commitment is displayed in your Admin Console during the Amendment Term. During the Amendment Term, Member may only return a quantity of licenses that ensures Member maintains the Minimum Commitment. The Minimum Commitment is not eligible for returns.
3. Increasing the Minimum Commitment. If Member would like to increase its Minimum Commitment during the Amendment Term, then Member may re-accept these terms with the increased Minimum Commitment displayed in the Admin Console. After such re-acceptance, the increased Minimum Commitment is effective and will be displayed in the Admin Console for the remainder of the existing Amendment Term. Notwithstanding the language in Section 1 above, if Member re-accepts these terms with an increased Minimum Commitment during the Amendment Term, then the existing Effective Date and End Date of the Amendment will not change. Member may not decrease its Minimum Commitment during the Amendment Term.
4. Migrating VIP 3-Year Commit Members. If Member has a current VIP 3-year commit amendment and migrates to VIP Marketplace and subsequently accepts this Amendment, then this Section 4 applies. Upon acceptance of this Amendment, (a) notwithstanding the language in Section 1 above, your End Date is the same date that your VIP 3-year commit amendment was set to expire, (b) your partner price offer will be based on your VIP 3-year Commit acceptance date, and (c) this Amendment governs for your Amendment Term. As of the Effective Date, your VIP 3-year commit amendment is superseded and replaced with this Amendment
5. Account Manager. Your Account Manager is your reseller. Member may change its Account Manager during the term of the Agreement if it so chooses. For clarity, Adobe does not set the pricing that channel partners charge Member and Adobe cannot guarantee any particular discount to Member. Member’s actual license fees are determined by its Reseller.
6. Unless otherwise expressly defined in this Amendment, capitalized terms used in this Amendment have the same meaning set forth in the Agreement or the Program Guide. Except for the terms provided in this Amendment, all other terms and conditions of the Agreement remain in full force and effect. Any inconsistency between this Amendment and the Agreement regarding the subject matter of this Amendment shall be resolved in favor of this Amendment. This Amendment may be executed in any number of counterparts, each of which will be deemed an original, but all of which together constitute one instrument.
7. This Amendment is prepared and is executed in the English language only. The English language version is controlling in all respects, and any version of this Amendment in any other language, is not binding and has no effect. Further, each party agrees that signature by Member or Adobe on any non-English language version, even if there is no signature(s) on the English language version will be deemed execution of the English language version and binding on the parties. Without limiting the foregoing, if there is any conflict or inconsistency between the English language version of this Amendment and any other translated version of this Amendment, the English language version and interpretation will prevail. All communications or notices to be made or given pursuant to this Amendment and any disputes arising under this Amendment will be conducted or resolved in the English language
