What is a license?

All Adobe branded and Macromedia branded software applications include a unique End User License Agreement (EULA), which is an agreement between the customer and Adobe concerning the licensing rights and regulations for using an Adobe branded and Macromedia branded software application.

Once I've upgraded, can I use, sell, or transfer the previous version of the software?

No. Purchasing an upgrade extends the existing license to cover the new product version; it does not provide you with an additional license.
